The spring brings auspiciousness to the new year, and the spirit snake brings blessings to the world. On February 16, Zhengzhou Annec Industrial Co., Ltd. held the 4th plenary meeting of the 7th shareholders' meeting at Luban Joy Hotel in Xinmi City. All shareholders attended the meeting.
The meeting opened with the solemn national anthem. Board Secretary Lv Yingjun announced the agenda of the meeting and learned and promulgated the "Decision on Adjusting the Company's Organizational Structure" and "Overall Requirements, Main Business Indicators and Key Work of the Company in 2025" to the shareholders attending the meeting. Chairman Li Fuchao made the "Work Report of the 7th Board of Directors", Chairman of the Supervisory Board Wang Yiping made the "Work Report of the 7th Supervisory Board", and Financial Director Li Xiaodong made the "2024 Financial Work Report". Board Secretary Lv Yingjun announced the revision of the "Equity Incentive Management Measures" and the "2024 Equity Incentive Dividend Plan".
All shareholders reviewed and voted to approve the "Work Report of the Seventh Board of Directors", "Work Report of the Seventh Board of Supervisors", "Financial Work Report for 2024", "Implementation Measures for Equity Incentives", and "2024 Equity Incentive Dividend Plan".
The shareholders' meeting elected directors of the Eighth Board of Directors and supervisors of the Board of Supervisors. The Eighth Board of Directors and the Board of Supervisors held their first meetings respectively, electing Li Fuchao as the Chairman of the Eighth Board of Directors and Zhang Daoyun as the Chairman of the Board of Supervisors. The meeting voted to approve Qian Yunting as the Honorary Chairman of the Company and Lv Yingjun as the Secretary of the Board of Directors.
The meeting held a ceremony for the appointment of management cadres at the department level and above. Honorary Chairman Qian Yunting read out the "Decision on the Appointment of the Head of the Company's Department", and Chairman Li Fuchao issued letters of appointment to the company's leaders and department-level management cadres.
The directors of the Eighth Board of Directors, the supervisors of the Board of Supervisors and the company's management team took an oath respectively, stating that they would actively do their jobs well, unite and lead team members, be loyal and dedicated, take the initiative to innovate, and contribute their wisdom and energy to continuously promote the development of blast furnace hot blast stove technology and the technological progress of high-temperature new materials, and become the preferred service provider of the global high-temperature industry.
Li Fuchao, Chairman of the 8th Board of Directors, delivered an important speech. He first thanked all shareholders of Annec for their trust and high expectations of the Board of Directors, and expressed that he would live up to the mission, shoulder the heavy trust, actively practice ANNEC's culture and mission, and strive to fully safeguard ANNEC's corporate interests and shareholder rights. He pointed out: First, we want to build Annec into the first echelon of high-temperature new material manufacturing companies in China and even the world. This requires the joint efforts of shareholders, management cadres at all levels and all employees. Everyone should emancipate their minds, unify their steps, overcome fear of difficulties, strengthen their confidence and courage to win, carry forward the spirit of dedication, and strive to achieve the company's development goals. Second, happiness comes from struggle. In Luoyang Company, Fuhua Company and Fuxing Company, we have achieved automated, intelligent and green manufacturing through equipment iteration and upgrading and technological transformation. We must make every effort to build efficient and low-carbon hot air furnaces and green and smart Annec. This requires our managers and operators to adjust their original ideas and cognition, change their original working methods and operating behaviors, and do their jobs well in accordance with the company's established overall requirements, operating indicators and key tasks. Only by being down-to-earth, fearless of difficulties, forging ahead and moving in the same direction can we get the expected happy life.
